1. Agreement to Terms

These Terms of Use (“Terms”) govern your access to and use of the websites, products, and services provided by Talia AI (“Talia,” “we,” “us,” or “our”).

By accessing or using our websites or Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Note: If you or your organization have signed a separate written agreement with Talia (such as a services agreement or BAA), that agreement will control to the extent it conflicts with these Terms.


2. Eligibility

You may use the Services only if:

  • You are at least 18 years old (or the age of majority in your jurisdiction), and

  • You have the legal capacity and authority to enter into these Terms.

Our Services are intended for professional and organizational use, particularly by healthcare organizations and their authorized staff.


3. Accounts and Security

Some parts of the Services may require you to create an account or receive credentials.

You agree to:

  • Provide accurate, current information when creating an account

  • Keep your login credentials confidential

  • Notify us promptly of any unauthorized use of your account or security breach

You are responsible for all activities that occur under your account, except where caused by Talia’s negligence or misconduct.


4. Use of the Services

You may use the Services only for lawful purposes and in accordance with these Terms and any applicable documentation.

You agree not to:

  • Use the Services in any way that violates applicable law, regulation, or professional obligations

  • Use the Services to send spam, harassing, or harmful content

  • Attempt to gain unauthorized access to any systems, networks, or data

  • Reverse engineer, decompile, or attempt to extract source code (except as permitted by law)

  • Interfere with the operation or security of the Services

  • Misrepresent your identity or affiliation with any person or entity

We reserve the right to suspend or terminate access if we reasonably believe these Terms have been violated.


5. No Medical Advice / Emergencies

Talia provides tools and automations to help healthcare organizations manage calls, intake, scheduling, and related workflows. Talia does not provide medical care, medical advice, diagnosis, or treatment.

  • The Services are not a substitute for professional medical judgment or emergency services.

  • Healthcare professionals remain solely responsible for clinical decisions and patient care.

  • If you are experiencing a medical emergency, call your local emergency number (e.g., 911) immediately. Do not rely on Talia or any automated system for emergencies.


6. Protected Health Information (PHI) and HIPAA

When Talia processes Protected Health Information (“PHI”) on behalf of a Covered Entity or Business Associate in the United States:

  • Such processing is governed by applicable law and by a Business Associate Agreement (BAA) between Talia and the healthcare organization.

  • The healthcare organization is responsible for obtaining necessary authorizations, consents, and notices from patients.

  • Talia handles PHI in accordance with the BAA and the healthcare organization’s instructions.

Nothing in these Terms limits the obligations set out in an applicable BAA.


7. Intellectual Property

The Services, including all software, text, graphics, logos, designs, and other content (excluding your own content) are owned by or licensed to Talia and are protected by copyright, trademark, and other laws.

Subject to these Terms and any applicable subscription or services agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

You may not copy, modify, distribute, sell, or lease any part of the Services unless we give you explicit written permission.


8. Your Content

You may provide or transmit content through the Services, including call audio, transcripts, or other data (“Your Content”).

You retain ownership of Your Content. By submitting or transmitting Your Content, you grant Talia a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and display Your Content as necessary to:

  • Provide and improve the Services

  • Perform our obligations under applicable agreements

  • Comply with law and enforce our rights

If you are a healthcare organization, you represent that you have obtained all necessary consents and authorizations to use and share Your Content with Talia, including any PHI, as required by applicable law.


9. Feedback

If you provide feedback, suggestions, or ideas about the Services (“Feedback”), you agree that Talia may use the Feedback without restriction, and without any obligation to compensate you.

You agree not to submit Feedback that includes proprietary or confidential information that you do not have the right to share.


10. Third-Party Services

The Services may integrate with or link to third-party services, software, or websites (for example, telephony providers, communication platforms, or analytics tools).

  • Talia does not control and is not responsible for third-party services.

  • Use of third-party services is subject to their own terms and privacy policies.

  • We are not liable for any damages or losses arising from your use of third-party services.


11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALIA DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TALIA OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR

  • ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL,

ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, TALIA’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED, IN AGGREGATE, THE AMOUNTS PAID OR PAYABLE TO TALIA FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US $100) IF NO SUCH PAYMENTS HAVE BEEN MADE.

Some jurisdictions do not allow certain disclaimers or limitations of liability; in such cases, the above may apply to you only to the extent permitted by law.


13. Indemnification

You agree to indemnify, defend, and hold harmless Talia and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • Your use of the Services

  • Your violation of these Terms

  • Your violation of any rights of another person or entity

  • Your Content, including any allegation that Your Content infringes or violates the rights of any third party


14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of [California], without regard to its conflict of laws principles.

Any disputes arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in [San Francisco County, California], and you consent to the jurisdiction of those courts.

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top. Material changes may be communicated through our website or by other reasonable means.
